Services Agreement
This Clickwrap Agreement (the "Agreement") is entered into by and between Stratnerd, a Queensland/Australia corporation, with its principal place of business as outlined on the website and the Client ("Client") – details provided as outlined within payment process.
1. Acceptance of Terms
By clicking the "I Accept" button or similar button, or by accessing or using the services provided by the Company, the Client agrees to be bound by the terms and conditions of this Agreement. If the Client does not agree to these terms, they should not click the "I Accept" button and should not use the services.
Acceptance of these Terms and full payment of the selected service in full needs to be completed prior to the Company commencing work
2. Scope of Services & Fees:
The scope of this engagement includes:
Services
12-month Strategic programs including a complete strategy document including summary, focus areas, overview, SWOT, action plan, KPIs, Action Plan and one-page working summary
Fees
$495 excl. GST to be paid immediately before commencement of Services.
3. Upfront Payment
The Client will be redirected to a checkout page to complete payment. The Client agrees to make upfront payment of the fees specified by the Company before the commencement of the Services.
4. Services/ Deliverable
Upon receipt of the upfront payment you will then be sent a questionnaire to complete. Once complete Startnerd will provide the Client with the Services, which may include but is not limited to a strategic plan, as outlined in the scope of work. The delivery will be made within 5-10 working days after receipt of a fully completed questionnaire.
6. Confidentiality
The Client agrees to keep all information provided during the provision of the Services confidential and not disclose it to third parties without the prior written consent of the Company.
7. Privacy
The Company agrees to handle any personal information collected during the provision of the Services in accordance with applicable privacy laws. The Company will not disclose or use the Client's personal information for any purpose other than the provision of the Services without the Client's consent.
8. Advertising Engagement
The Client agrees that the Company may publicly disclose and advertise the engagement, including the nature of the Services provided, as a reference on the Company's website or marketing materials, unless otherwise agreed upon in writing by both parties.
9. Disclaimer of Warranty
To the extent permissible at law, the Services are provided "as is" without any warranty, either expressed or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. The Services provided by the Company are not legal, financial or otherwise advisory services and the Client must use the Deliverables at their discretion.
The Services provided is intended solely for guiding the client's business. It is the client's responsibility to consider and decide upon the final execution, acceptance of the strategic direction, budgeting, and management of the plan and therefore, the Services suitability for your business.
The client acknowledges and agrees that Stratnerd is not responsible for the execution, management, or results of the plan. The client shall be solely responsible for all decisions and actions taken in relation to the strategic plan provided by the Service.
10. Fitness for purpose and suitability
The Services provided are designed to serve as an initial framework to stimulate business thinking and strategic planning. It is intended to assist businesses in initiating their strategic planning process.
The Service is not intended to be a comprehensive strategy and it is recommended that the Services are used in conjunction and with reference to your specific business needs. The Services are intended to act as a directional guide, offering insights and recommendations based on the information provided by the client through a structured questionnaire. The Specific Service provided as a low-cost strategic initial step, which we refer to as the "Kickstarter", to facilitate the commencement of the client's strategic planning journey. Stratnerd will however provide an opportunity for one round of modification once submitted, based on the clients discretion.
3. Adaptation and Modification
The dynamic nature of business environments necessitates that Services be flexible and adaptable. Clients are advised to regularly assess the effectiveness of their strategic plan and make necessary modifications or pivots to ensure alignment with their evolving business objectives and market.
The responsibility for adjusting and updating the strategic plan in response to performance evaluations, market changes, and other relevant factors lies solely with the client. StratNerd encourages active client engagement in this iterative process to maximize the effectiveness of the strategic plan.
10. Limitation of Liability
In no event shall the Company be liable for any indirect, consequential, special, or incidental damages arising out of or related to the use of the Services or the Deliverable.
11. Termination
The Company or the Client may terminate this Agreement at any time if the other party breaches any of its terms. Upon termination, the Client must pay any outstanding fees, and the Company will deliver the completed Deliverable if applicable.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Australia.
13. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, whether oral or written, relating to the subject matter hereof.
